Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZappFleet fleet management platform and associated services (collectively, the "Service") provided by Enspire Oy ("we", "us", or "ZappFleet"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

ZappFleet is a cloud-based fleet management platform that enables remote control of vehicles via MQTT IoT technology, including features such as remote lock/unlock, real-time fleet monitoring, driver management, audit logging, and GDPR compliance tools. The Service requires compatible hardware (Raspberry Pi units) installed in vehicles.

2. GPS Tracking

The Service includes GPS location tracking of vehicles equipped with ZappFleet hardware. Location data is collected for fleet management purposes only, stored in the European Union, and subject to the data retention periods configured by the Data Controller.

3. Camera Recording

Vehicles equipped with ZappFleet Premium hardware include interior and front-facing cameras. Recording occurs during active duty hours. All occupants of the vehicle are informed via visible signage. Camera footage is stored securely and deleted according to the retention period configured by the organisation.

4. Hardware Ownership

All physical hardware (Raspberry Pi, cameras, GPS modules, and accessories) is purchased and owned by the customer. ZappFleet provides software services only. ZappFleet is not liable for hardware failures, damage, or replacement costs.

5. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access.

You may only create an account if you have the authority to bind yourself or your organisation to these Terms. If you are registering on behalf of an organisation, you represent that you have that authority.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable Finnish or EU law
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Transmit malicious code, viruses, or disruptive data
• Use the Service to harass, harm, or monitor individuals without legal authority
• Resell or sublicense the Service without prior written consent from ZappFleet
• Interfere with or disrupt the integrity or performance of the Service

7. Data Responsibility

In the context of the GDPR, you (the customer) act as the data controller for personal data processed through your organisation's use of the Service. ZappFleet acts as a data processor on your behalf. You are responsible for ensuring a lawful basis for any personal data processed through the platform, including driver data and trip logs.

We process personal data only in accordance with your instructions and our Privacy Policy. A Data Processing Agreement (DPA) is available upon request.

8. Hardware and Installation

The Service requires compatible IoT hardware (Raspberry Pi units) to be installed in your vehicles. Hardware installation, maintenance, and compliance with applicable vehicle regulations are your responsibility. ZappFleet provides software and connectivity; we are not liable for hardware failures or improper installation.

9. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability. We may perform planned maintenance with advance notice where possible, and may suspend the Service in the event of security incidents or force majeure.

10. Intellectual Property

The Service, including all software, designs, trademarks, and content, is owned by Enspire Oy or its licensors. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes in accordance with these Terms.

You retain ownership of all data you input into the Service. You grant us a limited licence to process that data solely to provide the Service.

11. Limitation of Liability

To the maximum extent permitted by Finnish law, ZappFleet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you for the Service in the 12-month period preceding the claim.

12. Termination

Either party may terminate the agreement on 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or if required by law.

Upon termination, you may request an export of your data within 30 days. After that period, we may permanently delete your data in accordance with our Privacy Policy retention schedules.

13. Changes to the Service and Terms

We may update these Terms or modify the Service from time to time. We will provide at least 30 days' notice of material changes to these Terms via email. Continued use of the Service after that period constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Finland. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance, unless mandatory consumer protection law requires otherwise.
